Company Registration in Poland for Foreigners

There are two realistic legal forms for a small business in Poland. A JDG is sole proprietorship: fast, free to register, but you are personally liable and pay ZUS regardless of income. A sp. z o.o. is a limited company: liability is capped at the share capital and there is no ZUS from the mere fact of existing, but it needs full accounting, an annual report to the KRS and corporate income tax.

JDG, step by step

  1. We check that your residence basis allows business activity.
  2. We choose the tax form and the PKD codes that match what you actually do.
  3. We file the CEIDG application, signed with a trusted profile or through your bank.
  4. NIP and REGON are assigned automatically, usually within one working day.
  5. We register you for VAT if required, set up ZUS and configure KSeF access.

Sp. z o.o., step by step

  1. S24 online with a standard articles of association, or a notary when you need custom provisions.
  2. Share capital from 5,000 zł, which stays in the business and is not a fee.
  3. Registration in the KRS, then NIP and REGON.
  4. Beneficial owner filing in the CRBR within the statutory deadline.
  5. Bank account, VAT registration where needed, and KSeF authorisations.

A practical note on the single shareholder company: if one person owns all the shares, that person is treated as a sole entrepreneur for ZUS purposes and pays contributions anyway. A second shareholder with a real stake changes that, and this is worth planning before registration rather than after.

Frequently asked questions

Which is cheaper to run, a JDG or a sp. z o.o.?

A JDG, in almost every case at the start. Simplified bookkeeping, no annual report to the KRS and no corporate tax layer. A limited company starts winning at a stable income of roughly 20,000 zł a month, when liability matters, or when there are several partners.

Can I register a company in Poland without living here?

A sp. z o.o., yes. Shareholders and board members do not need to be Polish residents, although a Polish address for correspondence and a bank account are practical requirements. A JDG, no: it is tied to your own residence basis in Poland.

How long does the whole process take?

A JDG is usually active within one to three working days. A company through S24 is registered in the KRS within a day or two, and the bank account plus VAT registration add one to four weeks depending on the bank and the tax office.
